Terms of Use & End User Licence Agreement

These terms set the rules for using ServiceLane websites, software, applications, agent-assisted tools, and related services.

1. Agreement to these terms

These Terms of Use and End User Licence Agreement (the “Terms”) govern your access to and use of ServiceLane websites, software, applications, agent-assisted tools, demonstrations, and related services (collectively, the “Service”). By accessing or using the Service, or by authorizing someone to use it for your business, you agree to these Terms.

If you use the Service on behalf of a company or other organization, you confirm that you have authority to accept these Terms for that organization.

2. ServiceLane service

ServiceLane provides contractor-focused operations tools that may include lead capture, customer and project records, job tracking, tasks, files, notes, follow-up tools, dashboards, integrations, and AI-assisted features. Features may be changed, added, limited, or removed as the Service develops.

ServiceLane may provide demonstrations, pilot access, early-access features, and custom workflow work. These may be incomplete, experimental, or subject to separate written scope, pricing, and approval terms.

3. Licence

Subject to these Terms and any applicable subscription or written agreement, ServiceLane grants you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business operations. This licence does not transfer ownership of ServiceLane software, designs, code, trade names, or other intellectual property to you.

You may not copy, sell, lease, sublicense, reverse engineer, interfere with, or attempt to gain unauthorized access to the Service except where applicable law does not allow that restriction.

4. Your accounts, data, and instructions

You are responsible for protecting account credentials, devices, API keys, and access links assigned to you or your team. You are also responsible for instructions, approvals, data, files, contacts, and content submitted through your account or by authorized users.

Do not upload, share, or direct ServiceLane to process information unless you have the right to do so. Keep separate business systems and customer records properly identified when using integrations or imports.

5. AI-assisted features and business decisions

AI-assisted tools can generate drafts, summaries, recommendations, classifications, and workflow suggestions. They can make mistakes. You must review output before relying on it for pricing, contracts, scheduling, customer communications, legal matters, safety decisions, financial decisions, or other material business actions.

ServiceLane does not provide legal, accounting, tax, insurance, engineering, medical, or other regulated professional advice. You remain responsible for your business decisions, approvals, compliance obligations, and communications.

6. Acceptable use

You must not use the Service to break the law, violate another person’s rights, send spam, introduce malicious code, evade access controls, disrupt the Service, or process information in a way that violates applicable privacy, consent, or communications laws.

You must not use the Service to make unauthorized automated decisions about people, impersonate others, or send customer-facing communications without the approvals required by your organization and applicable law.

7. Fees, pilots, and third-party services

Fees, payment timing, pilots, and custom work may be described on an order form, proposal, invoice, pricing page, or separate written agreement. Unless a separate written agreement says otherwise, fees are due as shown on the applicable invoice or payment page.

The Service may connect with third-party products such as messaging platforms, email providers, CRMs, payment processors, cloud hosts, AI model providers, and social platforms. Their services are governed by their own terms and policies. ServiceLane is not responsible for third-party outages, policy changes, fees, or data practices.

8. Privacy

Our collection and handling of personal information is described in the ServiceLane Privacy Policy. You are responsible for providing required notices and obtaining required permissions from your customers, staff, and other contacts before using the Service with their information.

9. Confidentiality and security

Each party will use reasonable care to protect the other party’s confidential information and will use it only to provide, receive, support, or improve the Service. No internet service, device, or transmission is completely secure. You should use strong passwords, least-privilege access, and appropriate review controls for sensitive information.

10. Availability, suspension, and termination

We aim to keep the Service available, but do not guarantee uninterrupted or error-free operation. We may suspend or limit access when reasonably necessary for security, maintenance, legal compliance, non-payment, or misuse.

Either party may end a paid or pilot relationship according to the applicable written agreement. On termination, your right to use the Service ends unless otherwise agreed in writing. Provisions that should reasonably continue after termination, including payment obligations, confidentiality, ownership, limitations of liability, and dispute terms, will continue.

11. Disclaimers and limitation of liability

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” ServiceLane disclaims warranties that the Service will meet every requirement, be uninterrupted, be error-free, or produce a particular business outcome.

To the maximum extent permitted by law, ServiceLane will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunities. ServiceLane’s total liability for a claim arising from the Service will not exceed the amount paid by you to ServiceLane for the Service in the twelve months before the event giving rise to the claim.

12. Changes to these Terms

We may update these Terms from time to time. The current version will be posted here with its updated date. Continued use of the Service after an update takes effect means you accept the updated Terms, except where applicable law requires another form of notice or consent.

13. Governing law and contact

These Terms are governed by the laws of the Province of Nova Scotia and the laws of Canada applicable there, without regard to conflict-of-law rules. If you have questions about these Terms, contact craig@dialblue.com.
